Whitehead Vizard's leading commercial solicitor, Louisa Swanton, has produced a free fact sheet to advise local businesses about new disclosure obligations which affect all Salisbury companies and limited liability partnerships.

Louisa Swanton from Whitehead Vizard, in Salisbury High Street, says: “The new Companies Act 2006 imposes obligations on all companies and limited liability partnerships to disclose information on their websites and order forms.”

“We are concerned that companies in Salisbury may overlook these new obligations and run the risk of financial penalties, as there has been little publicity of these changes. We hope the Fact Sheet will address this.

” The key points on the Fact Sheet are:

1. The company’s website and order forms must include the company name registered at Companies House, as well as any trading name.

2. The company’s website must include the place of registration, the registered number and the address of the registered office of the company.

3. Where the company’s details have been submitted to other websites, e.g. trade directory sites and such information is under the company’s control, then the company’s registered name, trading name, registered number, place of registration and registered office should also be disclosed on those sites.

4. All business correspondence sent electronically, e.g. e-mail templates, fax front sheets and other electronic templates (including blackberries) must also include the company’s registered name, place of registration, registered number and registered office.

Louisa Swanton added “The new Companies Act 2006 will change the way companies are set up and run, and the relationship that directors have with their businesses.

It is intended to simplify company law and reduce regulation for private companies. The majority of the provisions come into force in October 2008 and we will endeavour to keep Salisbury Companies informed of the changes as and when they arise.”
